In one day, it surged 17.66%, and RRC was acquired by EQT

Monday, October 26, 2026

EQT's all-stock acquisition ignited RRC, ending the independent valuation story. Moving forward, stock prices will focus more on the share swap ratio and settlement risk.

A single M&A agreement has amplified the trading volume of an "old" natural gas stock tenfold

At the close of the US East Asian market on October 26, Range Resources ($RRC) was at $53.56, surging 17.66% in a single day, with trading volume expanding to 10.2 times the daily average over the past three months, and its market value soaring overnight to $12.52 billion.

This stock trended not because its earnings exceeded expectations or because some analyst suddenly went bullish, but because Appalachia's old rival EQT announced an all-stock acquisition: RRC per share for 0.987 EQT shares, with the deal expected to close in Q1 2027.

A "bargain" that once had a P/E ratio of only 11 times and a free cash flow yield as high as 14% has finally been revalued—but not by the market slowly discovering it, but by being directly bought by peers.

So, how many stories are left at today's $53.56?

Selling gas, liquid, and oil—the 'local boss' of Appalachia.

Range Resources, headquartered in Fort Worth, Texas, has staked almost all its assets in the Appalachian Basin of the northeastern United States, focusing on exploration, development, and asset acquisition of natural gas, natural gas condensate (NGLs), and crude oil.

Its client list is quite scattered

Natural gas is sold to utilities, marketing and midstream companies, and industrial users; NGLs enter petrochemical, refining, processing, and trading sectors; crude oil flows to processors, transporters, and refining marketing companies. Fiscal year 2025 revenue is $2.99 billion, up 27.23% from $2.35 billion in fiscal year 2024.

Its irreplaceability does not come from patents, brands, or network effects, but rather from a combination of reserve quality, undeveloped well sites, gathering and compression processing capacity, regional pipeline access, and years of operational experience. The report gives a non-fungible score of 7/10, which is above average but not a broad moat. **

To put it simply, RRC is more like an old mine that's been in business for years, rather than a factory with its own unique formula: the vein itself can't be bought by others, but the mining techniques aren't mysterious.

Since the process can be replicated, isn't what EQT really wants to buy the vein itself?

From 11x to 14.8x, bargains are being "traded at price"

At the time of writing, RRC's stock price was still $42.58, corresponding to an 11.03x P/E ratio, 3.93x P/S, 2.66x P/B, a PEG of 0.11, a free cash flow yield (FCF yield) as high as 14.03%, and return on equity (ROE) 19.51%. The report judged it as cheap.

After today's close, the P/E ratio had risen to 14.8 times. If we compare the $1.17 billion free cash flow for fiscal year 2025 to the latest $12.52 billion market cap, the free cash flow yield has fallen from around 14% to just over 9%. The thick safety margin that once existed has been largely eroded by a single day's gain.

The quality of cash flow remains the company's toughest trump card

Free cash flow for fiscal year 2025 is $1.17 billion, up 23.89% from $944.5 million in fiscal year 2024; In Q1 2026 alone, it reached $619.1 million, a year-on-year increase of 87.55%. Based on this, research reports determine it is in a self_funding (self-sustaining) state.

However, the report also cautions that the disclosed materials lack comprehensive maintenance capital expenditures and hedging settlement criteria, so upstream cash flow fluctuates sharply with commodity prices, so the $1.17 billion cannot be treated entirely as stable distributable cash.

The report originally valued using a normalized free cash flow per share multiplied by a three-scenario model of 8 to 12 times, but now the key pricing anchor has shifted: Based on EQT's closing price last Friday, a 0.987 conversion ratio implies a $54.91 per share, representing a 20.6% premium over RRC's closing price.

The price drop on the day meant that the implied value calculated at the real-time price was below this figure, with RRC closing at $53.56, leaving little difference between the price and the swap price. Has the good news been mostly priced in in the stock price? From the price difference, the answer is basically yes.

pre_breakout Before the process was even finished, the case was "closed early" by an acquisition

The report classifies RRC as pre_breakout (the eve of the breakout): in fiscal year 2025, revenue, net profit, and free cash flow will grow by 27.23%, 147.09%, and 23.89% respectively, with a cheap valuation. However, net profit in Q2 2026 is expected to fall 17.78% year-on-year, meaning revenue growth has not been converted into profit, so two consecutive quarters are needed to verify this.

Currently, the stock price is 31.6% above the 50-day moving average of $40.7 and 34.3% above the 200-day moving average of $39.88, making it a clear breakout in terms of trend. However, the momentum for this breakout comes from the share swap agreement rather than financial report verification. Afterwards, RRC became more like a merger and arbitrage target following EQT fluctuations, with its independent phase narrative basically coming to an end.

Among the four major rivals, the strongest one was bought directly

The research report lists four direct comparable companies

EQT, Antero Resources, Southwestern Energy, and CNX Resources. EQT has stronger pure natural gas scale and operational efficiency, Antero excels in midstream processing and NGL recovery, Southwestern spans multiple basins, and CNX has coal and power businesses, making it closer to an integrated energy enterprise.

RRC's relative advantages lie in Appalachian specialization and a more complete product portfolio of natural gas, NGLs, and crude oil; Its weaknesses are regional and commodity concentration, combined with unstable margins exposed in Q2. Upstream products have no brand premium; pricing is left to benchmarks like Henry Hub, with comparing unit production cost, per-well capacity, and capital discipline.

When the moat is just "vein and craftsmanship," the easiest way to compete is often not to compete, but to acquire the vehicle. The merged new EQT will have a net output of over 9 Bcfe/day, nearly 3 million net acres of land, over 30 years of drilling inventory, and more than 3,700 miles of midstream pipeline network, with an expected annual synergy of $325 million within two years and over $600 million in the long term.

When an industry leader uses their own stock to acquire your land, is this the most direct endorsement of your asset value, or is it another denial of your ability to survive independently?

The ceiling is not about how big the basin is, but about how high the price is

The report does not fabricate TAM figures for Appalachian natural gas, but instead divides the service market into three layers: total demand comes from utilities, industrial, midstream, and refining customers; The service market is limited to Appalachia, where the company has development and transportation infrastructure; The accessible market is determined by reserves, well capacity, capital budget, and contracts.

Based on the company's own revenue, the report presents three scenarios for fiscal years 2026 to 2028: low-scenario revenue of $2.4 billion to $3 billion, baseline $2.9 billion to $3.4 billion, and high scenario $3.3 billion to $4 billion. If PJM grid improves unit utilization, it could boost regional natural gas power demand, but this is currently only an upside assumption.

What bulls see are cash machines locked in at premiums

Even after the independence story ends, the bulls still have several reasons to hold their ground, some of which have already been written into the share swap agreement:

▲ Bull Case
① Net profit for fiscal year 2025 is $658 million, a year-on-year increase of 147.09%, showing that profit improvement is not just a narrative
② In Q1 2026, free cash flow reached $619.1 million, up 87.55% year-on-year, demonstrating strong self-sustaining capacity
③ Q2 revenue was $759.6 million, up 8.6% year-on-year, with a net margin of 25.7%, and demand did not collapse
④ The share swap ratio implies a 20.6% premium, allowing shareholders to share the 27% equity and synergies after the merger
⑤ The merged company's unleveraged free cash flow break-even point is below $2 per million British thermal units
⑥ Based on recent futures curves, the merger expects cumulative free cash flow over five years to be about $20 billion

What the bears worry about is that although the premium has been realized, the risks remain

Bears do not believe the RRC's fundamentals have collapsed, but rather believe the good news has already been priced in by prices in advance, leaving much uncertainty:

▼ Bear Case
① All-stock trading lacked cash backing, and the EQT decline on the day compressed RRC shareholders' actual income
② The stock price is close to the implied value of the swap, and further upside mainly depends on EQT's own performance
③ Q2 net profit was $195.3 million, down 17.78% year-on-year, with a profit margin dropping from 34.0% to 25.7%
④ The research report valuation snapshot shows revenue growth at -10.25%, diverging from XBRL's growth data, with the exact basis still to be clarified
⑤ The transaction requires shareholder voting and regulatory approval from both parties, with delivery variables before the first quarter of 2027
⑥ Several shareholder equity law firms have launched investigations into whether the share swap ratio is fair

Keep a close eye on these issues in the coming months

After the M&A announcement, RRC's pricing logic shifted from "fundamental revaluation" to "delivery and spread." The following points are worth noting:

• October 27 post-market third-quarter report: market expects earnings per share of $0.764 and revenue of $798.2 million; the originally scheduled call has been canceled, resulting in a neutral outlook
• Shareholder voting and regulatory approval: expected to be completed before Q1 2027; if successful, the price gap will narrow, resulting in a positive impact
• Natural Gas Prices and PJM Procurement Trends: Determining EQT stock price and post-merger demand, with uncertain direction
• Progress of synergy realization: Whether the $325 million target within two years can be achieved will affect the medium to long term

A 40% increase in one year, with the final step relying on mergers and acquisitions

According to research reports, RRC's stock price rose 42.4% over the past 12 months, and in the 30 days before writing, it rose another 27.9%. This rally is not castles in the air; profitability and cash flow improvements in fiscal year 2025, along with a 26.4% revenue growth in Q1 2026, have jointly supported valuation recovery.

The turning point came in the second quarter

Revenue continued to grow, but net profit declined year-on-year, disappointing market expectations for profit elasticity for the first time. While investors were waiting for the third-quarter report to be verified, EQT took the initiative to submit an acquisition agreement, turning a revaluation story that would have taken several quarters to tell was compressed into a single trading day. **

⚠️ Risk Notice

• Fully stock-based trading, RRC shareholders' income fluctuates with EQT's stock price
• If the transaction is blocked by shareholder voting or regulatory issues, the stock price may give back the M&A premium
• Declines in natural gas, NGLs, and crude oil prices will simultaneously weigh on earnings and EQT valuations
• Second-quarter profits declined year-on-year, indicating that revenue growth has not steadily translated into profit
• Changes in the fair value of derivatives may amplify quarterly performance volatility

🟡 Neutral

The premium has basically been realized, leaving only the share swap price difference and delivery risk to bet on
